Welcome to Ultimate Choice Publishing LLC.
These Terms and Conditions (“Terms”) govern your access to and use of our website, publishing services, digital resources, payment facilities, consultation services, and other related offerings.
Throughout these Terms, “Ultimate Choice Publishing,” “the Company,” “we,” “us,” and “our” refer to Ultimate Choice Publishing LLC. The terms “Client,” “Customer,” “you,” and “your” refer to individuals, authors, businesses, publishers, or organizations accessing our website or purchasing our services.
By using this website, purchasing a service, accepting a quotation, submitting a project inquiry, or entering into a service agreement with us, you agree to the Terms applicable to that activity.
Where a service requires a separate agreement, quotation, project proposal, or statement of work, the relevant terms of that document will also apply.
If there is a conflict between these general Terms and a separately executed service agreement, the specific provisions of the executed agreement will govern that project to the extent permitted by law.
If you do not agree with these Terms, please refrain from purchasing our services or using any website functionality that requires their acceptance.
Ultimate Choice Publishing LLC is an independent publishing services agency providing creative, editorial, technical, and marketing support to authors, independent publishers, businesses, and other clients.
Our services may include:
Services are provided according to their published descriptions, accepted quotations, and applicable project agreements.
Availability, pricing, and scope may vary according to individual project requirements.
Ultimate Choice Publishing LLC operates independently of third-party publishing, retail, distribution, and advertising platforms.
Unless expressly stated otherwise, we are not affiliated with, sponsored by, endorsed by, or officially authorized to represent Amazon, Amazon KDP, IngramSpark, Kobo, Apple Books, Google Play Books, Audible, or other external publishing companies.
Our references to these platforms are intended to describe the services and assistance we provide.
All third-party trademarks, product names, and associated intellectual property remain the property of their respective owners.
Clients entering into arrangements with external platforms remain subject to those companies’ independent terms, policies, and requirements.
To purchase services or enter into a binding agreement with Ultimate Choice Publishing LLC, you must have the legal capacity to enter into a contract under applicable law.
Individuals acting on behalf of a business, publisher, or other organization represent that they have the authority to engage our services on behalf of that entity.
You agree to provide accurate, current, and complete information when requesting quotations, making payments, or submitting projects.
We reserve the right to decline projects that are unlawful, violate third-party rights, fall outside our professional capabilities, or conflict with applicable publishing platform policies.
Any refusal of service will be handled in accordance with applicable law and any binding contractual obligations.
Clients may request our services through the website, contact forms, email, or other officially designated communication channels.
A project inquiry may require information such as:
Submission of an inquiry does not automatically create a service contract.
We may review the information provided and issue a quotation or project proposal identifying the proposed work, pricing, expected timeline, and other relevant conditions.
Unless stated otherwise, quotations are valid for [insert quotation validity period].
A project is considered accepted when the applicable quotation or agreement has been approved and any required initial payment or other agreed commencement condition has been satisfied.
Ultimate Choice Publishing LLC may offer both standard service packages and individually quoted projects.
Fixed-Price Packages
Where a package is offered at a published price, its scope will be limited to the services and specifications stated in the package description.
Additional requirements falling outside that scope may be charged separately, subject to the client’s approval.
Custom Projects
Projects involving specialized editing, extensive illustrations, complex formatting, ghostwriting, several publishing formats, or unusual technical requirements may require a custom quotation.
Custom quotations will be based on the information available when the project is assessed.
If the requirements materially change after acceptance, we may propose revised pricing, timelines, or service conditions.
No additional paid work will be performed without the client’s agreement to the revised scope and applicable charges.
All prices are displayed or quoted in the currency specified at checkout or in the applicable quotation.
Payment arrangements may include full payment, an initial deposit, staged payments, or another arrangement agreed upon in writing.
Where applicable, clients may pay through secure third-party payment processors integrated into our website.
Clients agree to provide accurate payment information and authorize the charges associated with their approved orders.
Payment processing fees, applicable taxes, currency conversion charges, or other transaction-related costs will be disclosed where required by law.
For custom projects, payment milestones may be linked to project stages, scheduled dates, or agreed completion events.
We may suspend work on an outstanding project if an agreed payment becomes overdue, subject to applicable law and the terms of the project agreement.
Work will ordinarily resume after the outstanding payment issue has been resolved.
We do not require clients to provide their payment card passwords or disclose sensitive banking credentials through ordinary email or contact forms.
Certain publishing projects may require a deposit before work begins.
Deposits may be used to reserve production capacity, initiate project planning, or cover agreed preparatory work.
The amount, payment schedule, and treatment of deposits will be specified in the relevant quotation or service agreement.
A deposit is not automatically nonrefundable merely because a project has commenced.
Any deductions, cancellation charges, or refund entitlements will be determined by the agreed service conditions, the work actually performed, and applicable consumer protection laws.
Where installment payments are agreed upon, clients are responsible for meeting the scheduled payment dates.
Failure to make a required payment may affect the project’s timeline and the release of completed materials, as permitted by the agreement and applicable law.
A project may begin after the necessary payment, instructions, files, and approvals have been received.
Clients are responsible for providing the information and materials reasonably necessary for us to perform the agreed work.
This may include manuscripts, illustrations, photographs, research materials, author biographies, publishing specifications, or access to relevant accounts.
Incomplete, incorrect, or delayed submissions may affect the project schedule.
We may request clarification when project instructions are unclear or when supplied materials contain technical problems that prevent the work from proceeding.
Clients should retain independent backup copies of all submitted files.
Clients agree to cooperate reasonably throughout the project.
This includes providing accurate information, reviewing work submitted for approval, responding to necessary questions, and supplying required materials within agreed timelines.
Clients are responsible for ensuring that their submitted content is lawful and that they possess the necessary rights or permissions for its intended use.
Clients must not knowingly submit plagiarized, unlawfully copied, defamatory, fraudulent, or otherwise unlawful materials.
For nonfiction books, clients remain responsible for reviewing factual claims, professional statements, references, and other information before approving final publication, unless specific verification responsibilities have been agreed upon.
Clients are also responsible for complying with the requirements of their selected publishing platforms.
Ghostwriting services may involve research, outlining, manuscript drafting, revisions, and other writing-related activities identified in the project agreement.
The scope of the service will determine the expected word count, subject matter, deliverable format, research requirements, revision arrangements, and completion milestones.
Clients must provide accurate instructions and disclose any special content requirements before work begins.
Where the client provides personal experiences, interviews, factual information, or research materials, the client is responsible for confirming their accuracy unless independent verification is expressly included.
Authorship credit, confidentiality, ownership of commissioned writing, and commercial usage rights will be governed by the applicable written agreement.
Ghostwriting services do not automatically include book formatting, cover design, publication, or marketing unless those services are expressly included.
Our editorial services are intended to improve manuscripts within the agreed scope of work.
Developmental editing, copyediting, line editing, and proofreading address different aspects of a manuscript.
The purchased service determines which aspects will be reviewed and corrected.
Editing and proofreading do not guarantee that every error, inconsistency, or factual inaccuracy will be identified.
Unless expressly agreed upon, editorial services do not include independent fact-checking, legal review, plagiarism investigation, extensive rewriting, or verification of cited research.
Clients are responsible for reviewing editorial changes and approving the final manuscript.
Significant rewriting or newly added material after an editing stage has been completed may require additional services and charges.
Book formatting and interior design services may include text layout, typography, margins, headings, page numbering, chapter organization, image placement, and preparation of publication files.
The specific formats to be delivered will be identified in the project agreement.
Print and digital editions may require separate preparation because their technical requirements differ.
Clients must provide accurate information concerning trim size, publishing platform, book format, page count, illustrations, and other relevant specifications.
Where source materials change substantially after formatting has begun, additional layout work may be required.
We aim to prepare files according to the agreed specifications, but final acceptance remains subject to the requirements of the relevant publishing platform.
Cover design and illustration services are provided according to the accepted creative brief, specifications, and project agreement.
Clients should identify the intended genre, target audience, publishing format, trim size, visual preferences, and any mandatory design elements.
The number of initial concepts, included revisions, final file types, and delivery arrangements will be determined by the selected package or quotation.
Clients are responsible for checking the spelling and accuracy of titles, subtitles, author names, back-cover descriptions, and other information supplied for design work.
The appearance of printed materials may differ from digital previews due to printing conditions, paper selection, and color reproduction.
Stock images, fonts, illustrations, and third-party assets may remain subject to separate licensing conditions.
Our publishing support services may include file preparation, metadata assistance, upload guidance, and other tasks specified in the accepted service agreement.
We may support clients using Amazon KDP, IngramSpark, Kobo, and other supported publishing services.
However, publishing platforms independently determine account eligibility, content acceptance, distribution availability, royalties, and compliance requirements.
Ultimate Choice Publishing LLC cannot guarantee approval, continued availability, or acceptance of any book by a third-party publishing platform.
We may assist with correcting technical issues within the purchased service scope, but decisions made by third-party platforms remain outside our control.
Clients are responsible for maintaining accurate account information and complying with platform terms.
Unless a separate written agreement expressly provides otherwise, publishing accounts should remain registered to and controlled by the client or the appropriate rights holder.
Clients are responsible for maintaining their account security, tax information, payment details, and account recovery options.
We will not require clients to transfer account ownership as a general condition of receiving publishing assistance.
Where access to a publishing account is necessary, the parties should agree on an appropriate and secure method of authorization.
Ultimate Choice Publishing LLC does not automatically become the publisher of record, copyright owner, royalty recipient, or distributor of a client’s book merely by providing publishing services.
Any separate royalty-sharing, revenue participation, account management, or publishing-rights arrangement must be expressly documented in writing.
Book marketing and advertising services may include promotional planning, campaign setup, advertising management, performance review, and other agreed activities.
Advertising platform fees and campaign spending are separate from our service fees unless a quotation expressly states otherwise.
Clients must approve their advertising budgets and remain responsible for authorized advertising expenditure.
We do not guarantee any particular number of sales, downloads, reviews, rankings, impressions, conversions, or royalties.
Advertising performance may be influenced by market conditions, book pricing, audience demand, competition, budget, platform policies, and other factors.
Our obligation is to perform the agreed marketing services with reasonable care and professional attention, rather than to guarantee a particular commercial outcome.
Website design and branding projects are governed by the specifications contained in the accepted quotation or project agreement.
Such projects may include website design, content organization, branding graphics, domain-related assistance, or other agreed activities.
Third-party costs for domains, hosting, premium themes, plugins, subscriptions, and external services are payable according to the applicable agreement.
Clients are responsible for the accuracy and legality of the content they provide for their websites.
Ongoing website maintenance, security monitoring, backups, content updates, and technical support are included only where expressly specified.
Website performance, search visibility, and visitor conversion outcomes cannot be guaranteed.
Audiobook-related services may include production coordination, audio preparation, narration arrangements, editing, quality review, and distribution assistance.
The precise scope will be specified in the relevant agreement.
Clients must possess the rights necessary to authorize the recording, adaptation, production, and distribution of their manuscripts.
Additional permissions may be required for music, sound effects, narration, and other third-party audio content.
Acceptance by audiobook platforms is subject to their independent technical and content requirements.
No particular audiobook sales, distribution coverage, or royalty earnings are guaranteed.
Estimated project timelines will be communicated through service descriptions, quotations, or project agreements.
Timelines may depend on manuscript length, complexity, requested revisions, client response times, and other relevant factors.
Unless expressly agreed otherwise, stated completion dates are estimates rather than unconditional guarantees.
If delays arise, we will make reasonable efforts to communicate material changes to the project schedule.
Client delays, changes in scope, or incomplete submissions may require adjustments to the expected delivery date.
Where a firm deadline is essential, it must be expressly identified and accepted in the relevant agreement.
Revision entitlements depend on the purchased service and the terms of the accepted quotation.
A revision generally refers to a reasonable adjustment to previously agreed work within the original project scope.
Requests introducing a new concept, substantially different instructions, additional chapters, replacement content, or major changes after approval may constitute additional work.
Where a request falls outside the included revision allowance, we will explain the additional work and seek approval of any proposed charge before proceeding.
Clients should provide clear and consolidated feedback where reasonably possible.
Revision periods and response deadlines will be specified in the relevant service agreement.
Completed work may be submitted for client review before final delivery.
Clients should carefully examine manuscripts, designs, files, and other materials to confirm they meet the agreed requirements.
Any errors or concerns should be reported within the review period specified in the project agreement.
Final delivery may include PDF, DOCX, EPUB, image files, or other formats expressly included in the purchased service.
Editable source files, layered design files, project files, and other working materials are included only where specified in writing.
Delivery or approval does not waive rights or remedies that cannot lawfully be excluded.
Clients retain ownership of intellectual property they lawfully owned before submitting it to Ultimate Choice Publishing LLC.
By submitting materials, the client grants us the limited permission reasonably necessary to review, edit, reproduce internally, process, and otherwise use those materials solely to perform the agreed services.
Ownership and commercial rights in newly created materials, including commissioned manuscripts, illustrations, cover designs, branding assets, and other creative work, will be determined by the applicable written agreement.
Payment alone does not necessarily establish a valid copyright assignment or work-made-for-hire relationship.
Where exclusive ownership or transfer of copyright is intended, the parties should document that arrangement in a legally effective written agreement.
Third-party assets, licensed fonts, stock images, and other independently owned materials remain subject to their applicable licensing terms.
We retain ownership of our pre-existing tools, processes, templates, and other proprietary materials, except to the extent expressly licensed or transferred.
Where appropriate, particular services may involve the use of digital tools, automation, or artificial intelligence-assisted processes.
The permissible use of such tools, any required disclosures, and any project-specific restrictions should be established in the relevant service agreement.
Clients may request clarification about the methods used in preparing their materials.
Any representations about originality, ownership, human authorship, or eligibility for copyright protection must be consistent with applicable law and the actual production process.
The parties are responsible for meeting applicable disclosure and content requirements imposed by the chosen publishing platforms.
We recognize that unpublished manuscripts, business plans, original ideas, and other submitted project materials may be commercially sensitive or confidential.
We will handle confidential information in accordance with applicable confidentiality agreements, our Privacy Policy, and relevant legal obligations.
Confidential information may be disclosed to personnel, contractors, or service providers who reasonably require access to perform the agreed services, subject to appropriate obligations and safeguards.
Confidentiality obligations do not ordinarily extend to information that is already public, lawfully obtained independently, or required to be disclosed by law.
Clients should identify any unusually sensitive materials or special confidentiality requirements before submitting them.
Where necessary, the parties may enter into a separate nondisclosure agreement.
We may wish to display completed projects, including book covers, illustrations, interior layouts, author websites, or other creative work, as examples of our services.
However, unpublished manuscripts, confidential information, and client-owned materials will not be publicly disclosed merely because they were submitted for a project.
Any portfolio or promotional use of client work will be governed by the applicable agreement and required permissions.
Clients may request confidentiality arrangements or restrictions on public portfolio display before work begins.
Testimonials and client reviews will be displayed in accordance with applicable law and relevant consent requirements.
Clients may request cancellation by contacting us through an official communication channel.
Cancellation and refund entitlements depend on the type of service, the applicable agreement, the stage of completion, the amount of work performed, and any governing consumer protection laws.
Where a service has not commenced, any applicable refund will be assessed according to the agreement and relevant legal requirements.
Where work has already begun, a refund calculation may take account of services completed, properly authorized expenses, and any lawful cancellation charges.
The existence of a deposit does not automatically make the deposit nonrefundable.
Detailed cancellation and refund procedures are addressed in our separate Refund and Cancellation Policy.
Nothing in these Terms removes rights or remedies that clients are entitled to under applicable law.
If a client believes that a payment was incorrect, unauthorized, or inconsistent with the agreed services, we encourage the client to contact us promptly.
We will make reasonable efforts to review the concern and provide relevant transaction or service information.
Clients retain any lawful right to dispute transactions through their financial institution or payment provider.
Where a payment dispute is raised, the parties agree to cooperate reasonably in providing accurate supporting information.
We may suspend further nonessential project work while a material payment dispute is being resolved, subject to applicable law and the relevant agreement.
We will not impose charges or penalties merely for exercising a lawful payment dispute right.
Users must not use our website or services for unlawful or unauthorized purposes.
Prohibited activities include attempting unauthorized access to our systems, distributing malicious software, submitting fraudulent payment information, misusing another person’s intellectual property, or interfering with normal website operations.
Users must not upload materials that knowingly violate applicable law or unlawfully infringe the rights of others.
We may restrict website access or decline unlawful activities where reasonably necessary and permitted by law.
Our website may contain links to independent publishing platforms, payment processors, hosting companies, and other third-party services.
Those companies operate under their own terms, policies, and technical requirements.
Ultimate Choice Publishing LLC is not responsible for independent decisions, security practices, service interruptions, or content policies of third parties outside our control.
Use of external websites is subject to the relevant provider’s terms and applicable law.
We aim to provide services with reasonable professional care and skill in accordance with the agreed scope of work.
However, no publishing, editorial, design, or promotional service guarantees a particular commercial outcome.
We do not guarantee book sales, bestseller rankings, publishing platform approval, royalties, advertising profitability, or particular search engine rankings.
Information and advice provided through our general website content are for informational purposes and do not automatically constitute individualized legal, financial, or other regulated professional advice.
These provisions must be read together with our separate Disclaimer page and are subject to applicable legal rights and obligations.
To the extent permitted by applicable law, the Company will not be liable for losses resulting solely from a client’s independent business decisions, inaccurate information supplied by the client, unauthorized third-party activities, or decisions made by external publishing platforms outside our control.
Neither party excludes liability that cannot lawfully be excluded, including liability for fraud or other matters protected by mandatory law.
Any contractual limitation of liability, monetary cap, or exclusion of particular categories of damages must be expressly stated in the relevant agreement and will apply only to the extent legally enforceable.
Nothing in these Terms removes statutory consumer rights or remedies.
To the extent permitted by applicable law, clients agree to be responsible for losses, liabilities, or third-party claims arising from unlawful materials or rights-infringing content they knowingly provide for use in a project.
This provision applies only to the extent the claim is attributable to the client’s breach of an applicable obligation, unlawful conduct, or misrepresentation.
It does not require clients to indemnify the Company for losses caused by our own negligence, misconduct, or breach of contract.
Any additional indemnity arrangements must be clearly identified in a written agreement.
Neither party will be responsible for failure or delay caused by events outside its reasonable control, except to the extent otherwise required by law.
Such events may include major network failures, natural disasters, government restrictions, widespread service interruptions, or other circumstances that materially prevent performance.
The affected party should notify the other party within a reasonable period and take reasonable steps to reduce the impact.
If the disruption continues for a substantial period, the parties may discuss revised arrangements or termination in accordance with the relevant agreement and applicable law.
Either party may terminate a service agreement in circumstances permitted by that agreement or applicable law.
We may suspend or terminate services for material breaches of contractual obligations, unlawful conduct, or unresolved payment failures where legally permitted.
Where appropriate, the client will receive notice and a reasonable opportunity to address the issue.
Termination does not automatically cancel obligations relating to payment for properly completed work, confidentiality, intellectual property, or other provisions intended to survive termination.
Any refund or final payment calculation will be made under the applicable agreement and governing law.
Personal information collected through our website or during service delivery will be handled in accordance with our Privacy Policy and applicable data protection laws.
This may include information submitted through contact forms, quotations, payments, project uploads, subscriptions, and other website features.
Third-party payment processors and other service providers may process relevant information in accordance with their own policies and legal responsibilities.
Clients should review our Privacy Policy for further information about the collection, use, storage, and protection of personal data.
We encourage clients to raise service concerns promptly so they can be reviewed.
Complaints should include relevant project details, the issue experienced, and the outcome requested.
We will make reasonable efforts to investigate and respond through an appropriate communication channel.
Where a dispute cannot be resolved informally, the parties may use any applicable contractual dispute resolution procedure or seek relief through a court or other competent authority.
Nothing in these Terms prevents clients from exercising lawful rights to contact regulators, consumer protection bodies, or other relevant authorities.
These Terms will be governed by the laws of [insert the applicable U.S. state or other jurisdiction], subject to mandatory consumer protection and other laws that may apply.
Any contractual jurisdiction or venue provision will be specified consistently with applicable law and any separately executed service agreement.
Nothing in this section is intended to deprive consumers of protections that cannot lawfully be waived.
Ultimate Choice Publishing LLC may update these Terms to reflect changes in services, website functionality, operational practices, or applicable law.
Updated Terms will be published on this page with a revised effective date.
Changes will generally apply prospectively.
Existing projects will continue to be governed by the terms accepted when the relevant agreement was formed, unless the parties validly agree otherwise or a change is required by law.
If any provision of these Terms is held to be unlawful, invalid, or unenforceable, the remaining provisions will continue to apply to the extent permitted by law.
Any affected provision will be interpreted or limited only as necessary under applicable legal requirements.
These Terms, together with applicable quotations, accepted proposals, project agreements, and referenced policies, constitute the relevant agreement between the parties concerning the covered services.
No separate promise, representation, or modification will alter a binding service agreement unless validly incorporated in accordance with its terms and applicable law.
